Authorized Resale Policy

GoodGrove is operated by Arven Brands LLC (“GoodGrove,” “we,” “us,” or “our”), a New York limited liability company with a mailing address at 418 Broadway, Ste N, Albany, NY 12207. This Authorized Resale Policy (the “Policy”) explains where you can buy genuine GoodGrove products and the limits we place on resale, repackaging, and use of our brand. By purchasing GoodGrove products, you agree to this Policy. This Policy supplements our Terms of Service and Refund Policy.

SECTION 1 - AUTHORIZED CHANNELS

The only sources we authorize for the sale of genuine GoodGrove products are:

  1. trygoodgrove.com — our official website (the “Site”); and
  2. The official GoodGrove storefront on Amazon — once activated and expressly designated by us as authorized.

Together, these are the “Authorized Channels.” Any other source is not authorized, even if the product appears to bear our name, logo, packaging, or trade dress.

Non-authorized sources include, without limitation:

  • Third-party sellers on Amazon other than the official GoodGrove Amazon storefront;
  • eBay, Temu, TikTok Shop, Walmart Marketplace, Facebook Marketplace, Etsy, Mercari, Wish, Alibaba, AliExpress, and any similar online marketplace;
  • Sellers operating through Instagram, Facebook, TikTok, or any other social-media platform;
  • Gyms, wellness studios, supplement shops, pharmacies, grocers, and other physical retailers, unless expressly designated as authorized in this Policy; and
  • Any other online or physical reseller, distributor, or agent we have not expressly designated as authorized.

SECTION 2 - WHY IT MATTERS

Avoid purchasing GoodGrove products from third-party sellers on marketplaces, social media, or other websites — they may sell counterfeit, expired, tampered, or improperly stored products that may contain unknown or dangerous ingredients. We cannot verify the authenticity, quality, or safety of any GoodGrove product purchased outside of an Authorized Channel.

Products handled outside our supply chain may have been stored improperly, repackaged, relabeled, or substituted with materials we did not formulate or test. We strongly encourage every customer to buy only through an Authorized Channel.

SECTION 3 - RESALE PROHIBITION

GoodGrove products are sold for personal, non-commercial use only. By purchasing from us, you agree that you will not, and will not authorize any third party to:

  • Resell, redistribute, lease, sublicense, or commercially distribute any GoodGrove product purchased from us;
  • Modify, repackage, relabel, re-bottle, decant, dilute, or otherwise alter any GoodGrove product or its packaging;
  • Export any GoodGrove product outside the United States; or
  • List, advertise, or offer GoodGrove products for sale on any platform that is not an Authorized Channel.

Subscription orders, multi-bottle bundles, and any quantity discounts are intended for the purchasing customer’s personal household use only. We reserve the right to limit, cancel, or refuse any order that, in our reasonable judgment, appears intended for resale or commercial distribution.

GoodGrove reserves all remedies available under law for unauthorized resale, including civil claims for trademark infringement, false designation of origin and unfair competition under the Lanham Act, 15 U.S.C. Section 1125, tortious interference, breach of contract, and state-law unfair competition. Pursuit of one remedy does not waive any other.

SECTION 4 - TRADEMARK LICENSE (LIMITED AND REVOCABLE)

The name “GoodGrove,” the GoodGrove logos, product names, packaging, label designs, and trade dress, together with all associated word marks, design marks, and goodwill (collectively, the “Marks”), are owned by Arven Brands LLC. All rights are reserved.

Any use of the Marks — in advertising, product listings, social-media content, search-engine keywords, or otherwise — requires GoodGrove’s prior written consent. Any limited license we grant to display the Marks is non-exclusive, non-transferable, and revocable at any time at GoodGrove’s sole discretion, with or without cause. Unauthorized use of the Marks is a violation of federal trademark law (Lanham Act, 15 U.S.C. Section 1051 et seq.) and may also violate state-law unfair competition and consumer-protection statutes.

SECTION 5 - REFUND REFUSAL FOR NON-AUTHORIZED PURCHASES

Products purchased from any source other than an Authorized Channel are not eligible for refund, replacement, exchange, credit, warranty service, or other remedy from GoodGrove. The customer remedies described in our Refund Policy apply only to products purchased through an Authorized Channel by the original purchaser.

SECTION 6 - REPORTING COUNTERFEIT OR UNAUTHORIZED RESALE

If you believe you have purchased a counterfeit or tampered GoodGrove product, or if you encounter a listing or storefront selling GoodGrove products without authorization, please report it to legal@trygoodgrove.com. Helpful information includes the seller name, marketplace URL, listing screenshots, order confirmation, photos of the product and packaging, and any lot or batch numbers visible on the bottle. We respond to verified reports within a reasonable time.

SECTION 7 - FUTURE AUTHORIZED RESELLERS

We may designate additional Authorized Channels — including retail partners, wholesalers, or marketplace storefronts — by updating this Policy. Any such designation, and any conditions attached to it, will be reflected here. A reseller is not authorized unless and until we identify it as such in this Policy or in a written agreement signed by GoodGrove.

SECTION 8 - CHANGES TO THIS POLICY

We may update this Policy from time to time. For material changes, we will provide at least 30 days’ advance notice by updating the “Last Updated” date above and, where appropriate, by email or on-site notice. Your continued purchase or use of GoodGrove products after the new Last Updated date constitutes acceptance of the updated terms.
